How CCD2 Treats Hiring and Leasing Agreements

Article 2(2)(g) of CCD2 excludes hiring or leasing agreements where neither an obligation nor an option to purchase the item exists in the agreement or a separate agreement. Leasing or hire-purchase structures with a purchase obligation or option require further scope analysis and may be covered. The contract's substance, linked arrangements, consumer purpose and national implementing law matter more than the word lease.

Why a lease can be credit or pure rental

A person can obtain use of a vehicle, appliance or other item through different contractual arrangements. A pure rental grants temporary use, normally without a contractual path to ownership. A hire-purchase or leasing structure may allow or require the customer to buy the item. Directive (EU) 2023/2225 distinguishes these possibilities instead of applying one rule to every arrangement called leasing. Article 2(2)(g) provides a specific exclusion where neither an obligation nor an option to purchase the item is set out in the hiring or leasing agreement itself or in any separate agreement. The existence and structure of purchase rights therefore determine whether this exclusion can be relied upon, but other CCD2 scope conditions also need to be met.

Read linked agreements, not only the main lease

The reference to a separate agreement in Article 2(2)(g) prevents classification solely from the headline document. A provider might place an option to acquire the item in a side letter, a connected contract or other legally effective arrangement. The scope decision should review all documents governing the customer relationship and the actual rights offered, including options to purchase at the end of the term. A marketing statement that purchase will be possible someday is not necessarily equivalent to a legally enforceable option, and the legal distinction requires analysis. Where there is an option or obligation, the Article 2(2)(g) exclusion cannot simply be assumed. That does not settle the other consumer, creditor, security and property-related conditions governing the transaction.

Hire purchase and finance leases with acquisition rights

A consumer hire-purchase agreement may combine possession of an item with a path to ownership through instalments or a final payment. If it involves a purchase obligation or option, it requires further review under CCD2, rather than the pure-hire exclusion. Some finance-lease designs may similarly create enforceable purchase rights. The consequences cannot be read from the product's accounting classification or tax treatment alone, as those are not substitutes for the Directive's statutory test. Determine the contracting consumer, creditor, object, instalments, costs and when any ownership transfer becomes possible. Separately examine Article 2 exclusions for other types of credit and applicable national rules, including domestic provisions governing hire purchase, leasing or consumer contracts.

Pure rental and the absence of an acquisition right

Where a consumer merely rents goods and neither the hiring agreement nor a separate agreement provides any obligation or option to purchase, Article 2(2)(g) excludes the arrangement from CCD2. A monthly charge for using an item is not automatically a repayment instalment on credit toward ownership. However, exclusion from CCD2 does not establish that the provider has no consumer-law duties. National rental, unfair-contract, marketing, distance-contract, data and other relevant rules may apply according to the facts. A business should record the legal basis for the pure-rental conclusion and avoid describing the product simply as unregulated. Any later addition of a purchase option requires a fresh assessment of the relevant agreement and timing.

Security, property and other exclusions

An agreement with acquisition rights can still require analysis of other Article 2 exclusions and definitions. For example, CCD2 has separate exclusions for certain mortgage-secured credit and property-acquisition transactions, reflecting the distinct Mortgage Credit Directive framework. A lease of equipment and an agreement involving immovable property can raise materially different questions. The borrower also must qualify as a consumer under Article 3 for CCD2 consumer-credit protections to apply. An incorporated company leasing machinery for its business does not become a consumer merely because the contract provides an option to buy. Firms should therefore distinguish product substance, consumer purpose, security arrangements and national law before deciding which legal regime governs the relationship.

What changes under the November 2026 transition

CCD2 entered into force in 2023, but Member States must apply their national implementing measures from 20 November 2026 under Article 48. The earlier Directive 2008/48/EC generally excluded pure hiring or leasing arrangements without a purchase obligation and treated purchase-related arrangements according to its own scope provisions. CCD2 retains a carefully worded exclusion and places lease arrangements with acquisition rights under a product-specific review. Article 47 contains transitional provisions for credit agreements already existing on the cutover date. An existing contract should not be automatically reclassified as newly concluded merely because the calendar changes. Check national implementing legislation, document formation dates and any legally meaningful variation.

A classification worksheet for leasing providers

List each product, customer type, contracting entity, leased object and relevant country. Obtain the full contract pack, including schedules, options, separate agreements and terms governing ownership at expiry. Determine whether an enforceable obligation or option to purchase exists, then assess the remaining CCD2 definitions and exclusions. Record who bears financial obligations, what charges are payable and which entity would provide any credit. A product marketed as subscription, rental, lease or hire purchase can require different legal analysis from another arrangement with the same label. Preserve the reasoned conclusion, source and date, with a review trigger for new purchase options, refinancing, national amendments or changes to the contract.

Frequently asked questions

Does the product label settle whether CCD2 applies?

No. Article 2 and Article 3 definitions, the agreement's legal terms, and national implementing law determine treatment.

When do CCD2 national measures apply?

Member States are required to apply their implementing measures from 20 November 2026, subject to Article 47 transitions.

Can requirements differ for similar financial products?

Yes. Explicit overdrafts, tacit overrunning and leasing with or without purchase rights have different scope rules.
