Digital origination has several distinct legal events
A customer can view proposed terms, receive a disclosure, consent to electronic communications, authenticate a signing session and conclude a credit contract during one mobile journey. Those events are not legally interchangeable. The system should record which document was shown and provided, whether its content matched the proposed agreement, what action constituted acceptance and when the consumer became bound. Separate electronic delivery requirements from electronic signature validity. A check-box can evidence an action but does not by itself establish that a required disclosure was supplied in a legally compliant form. A link to a mutable webpage may be unsuitable where a durable medium is required. Store an immutable contract version and preserve the events needed to reconstruct the transaction.
Durable medium and copies under CCD2
Article 20 of Directive (EU) 2023/2225 requires relevant credit agreements and modifications to be drawn up on paper or another durable medium and copies to be provided to the contracting parties. This does not mean that any web page is automatically a qualifying durable medium. The precise treatment of storage, accessibility and electronic copies depends on the legal standard and national implementation. National implementing measures generally apply from 20 November 2026, with transition. Evaluate whether the customer can keep, access and reproduce the document unchanged for the relevant period. Test if app-based documents remain accessible when an account is closed or the app is replaced. The electronic acceptance process must also comply with any additional applicable national contract-form requirements.
United States E-SIGN consent and Regulation Z
Regulation Z section 1026.17 permits relevant written disclosures to be provided electronically subject to the consumer consent and other applicable provisions of the federal E-SIGN Act, with specified exceptions. A lender should assess the requirements for demonstrating consent to receive electronic records and the consumer's ability to access and retain them. Separately, federal and state electronic-signature law may affect enforceability and execution. The creditor must still provide content required by section 1026.18 or other product provisions, at the correct point in the transaction. An e-signature service's completion certificate does not prove that required disclosures were properly delivered. Preserve electronic consent records, delivery evidence, document versions and any withdrawal of consent that affects future communications.
UK consumer credit agreement requirements
In the United Kingdom, regulated consumer credit agreements are governed by the Consumer Credit Act 1974 and applicable secondary legislation, alongside relevant FCA requirements. Section 60 concerns form and content regulations, section 61 addresses proper execution and signature, and section 62 deals with the duty to supply copies of certain unexecuted agreements. The Consumer Credit (Agreements) Regulations 2010 are important to applicable content and form requirements, subject to amendments and product scope. The correct execution and copy process must be established before deploying a website or app flow. Do not simply copy EU CCD2 content requirements into a UK contract. Preserve the version delivered, the identity of the contracting creditor and the evidence of the consumer's agreement under the operative UK requirements.
Ensure the issued agreement matches the decision
An agreement generated from approved underwriting information can still contain incorrect repayment amounts, maturity dates, creditor names or fee rules if the template and product engine disagree. Create checks linking the approved loan amount, APR, payment frequency, borrowing rate and other material terms to the executed agreement. A customer may accept a different rate or term from the version used to make disclosures or assess creditworthiness. Changes before execution should trigger an appropriate refresh of documents and controls. Store a unique agreement identifier, template version, product version and timestamps for the information provided to the borrower and the version actually accepted. Technical validation of a PDF does not demonstrate substantive regulatory compliance unless the data and governing rules have also been checked.
Audit evidence and consumer access
Maintain a record of the agreement and any legally required copies, delivery method, acceptance events, document version and communications. A file stored only in a lender dashboard may not satisfy a requirement to provide information in a durable form the consumer can retain and reproduce. Examine whether documents remain accessible after an account is closed, a device changes or a customer relationship is terminated. Retention requirements differ by jurisdiction and document type, so do not assume one global period applies. Test exceptions such as failed email delivery, interrupted mobile signing, returned electronic notices and accessibility barriers. An audit should be able to reconstruct the exact agreement supplied and accepted and connect it with relevant disclosures and later modifications.
Electronic agreement failure modes and corrective controls
Test the full digital flow with a customer who changes devices, loses network connectivity before acceptance or withdraws electronic communication consent where the applicable rules allow it. The lender should be able to distinguish a document merely displayed from a copy actually delivered in a form the customer can keep. Ensure the signer can identify the creditor and the exact version accepted, including repayment amounts, fees and interest conditions. Verify whether amended documents require a new disclosure, acceptance step or copy under the governing law. Record event times, authentication evidence and exceptions without claiming a generic clickwrap pattern is valid for every country and credit product. If a servicing portal later replaces an earlier file, preserve the original executed agreement and provide a reliable process for retrieving it. Accessibility tests should cover assistive technology, small screens and downloadable documents, not only successful automated form submissions.
Frequently asked questions
Do all consumer credit agreements require identical contents?
No. Product and jurisdiction determine the mandatory information and form.
Can an electronically signed agreement satisfy all duties automatically?
No. Signing, mandatory content, disclosure and copy requirements must be evaluated separately.
When do revised CCD2 national agreement rules generally apply?
From 20 November 2026, subject to national transitional rules.
