Credit Intermediary Conflicts of Interest

Conflicts can arise when a broker receives different commissions, recommends a lender from a restricted panel or rewards staff for completed finance agreements. The presence of remuneration alone is not proof of misconduct, but it can influence the consumer journey. Identify who pays, how amounts are calculated and whether financial incentives change which products receive prominence. A broker cannot rely solely on its trading name or statements of independence to establish that a recommendation is impartial.

Definition and scope

Conflicts can arise when a broker receives different commissions, recommends a lender from a restricted panel or rewards staff for completed finance agreements. The presence of remuneration alone is not proof of misconduct, but it can influence the consumer journey. Identify who pays, how amounts are calculated and whether financial incentives change which products receive prominence. A broker cannot rely solely on its trading name or statements of independence to establish that a recommendation is impartial. The review should distinguish statutory classification from descriptions in a service agreement. Identify the responsible firm and retain a versioned decision record. If a customer disputes the role or representation, record the evidence rather than relying on assumptions.

Governing obligations

FCA CONC 4.5.3R addresses the disclosure of relevant commission or other remuneration where it could affect the broker's impartiality or materially influence a consumer's decision. Related provisions may require additional explanation of payment effects in their applicable circumstances. Do not assert that every fixed commission creates identical disclosure duties, or that a vague reference to lender payments always satisfies them. Review the current law, product, timing and actual influence of remuneration. Different legal provisions apply to different products and activities. Document the date of the rule and any exemption relied on. Staff should not treat a general regulatory summary as authority to ignore a product-specific condition.

Customer information

A comparison service offering only a lender panel should explain its scope truthfully. Sponsored positions, commission tiers and eligibility filters can affect rankings. A consumer may understand best rate or independent comparison as wider and more objective than the actual results. Review the ranking methodology, excluded products and customer-facing explanations. Keep evidence of results shown to borrowers at the relevant time, including whether a particular recommendation was commercially influenced. The consumer-facing explanation must match the exact transaction. Keep the relevant document version and the communication channel in the record. A statement available on today's website cannot prove what an earlier applicant actually saw.

Operational arrangements

Retailers and motor dealers may reward salespeople for completed finance rather than cash purchases. Such incentives can create pressure to steer consumers toward a particular finance provider or structure. Review staff scripts, targets and application practices. Do not encourage inaccurate financial information or portray a broker estimate as a lender's binding approval. Consider complaints about unexpected costs, unsuitable finance descriptions and restricted lender choice when testing actual consumer outcomes. A risk review should compare the internal commercial arrangement with what consumers were promised. Where the factual record is incomplete, investigate before making a definitive compliance claim. Retain the owner of each correction.

Conflicts and accountability

Disclosure may not resolve a process that continues to mislead consumers. Review governance controls for new lender contracts, commission changes, ranking algorithms and sales incentives. Record the rationale for managing a conflict and who approves the arrangement. A claim of impartiality should be tested against observed recommendations and compensation structure. Separate customer-paid broker fees from lender commissions, including their combined effects when both exist. Provide a path for complaints and escalation. Operational handoffs matter even when legal responsibility stays with another entity. Test the process using real cases, including failed applications and complaints. Make sure staff can find the firm responsible for correcting a specific problem.

EU legal differences

Directive (EU) 2023/2225 revises consumer-credit intermediary requirements under national measures generally applying from 20 November 2026. Specific disclosure and conduct obligations should be checked under each Member State's present and implementing law. UK CONC rules cannot be assumed to operate identically across the EU. Identify the relevant credit product, consumer location, legal entity and date. Track legislative changes separately from commercial policy updates. Do not conflate requirements currently in force with future national measures. Changes to the product, customer market or business model should trigger a refreshed assessment. Document approvals and effective dates.

Audit and testing

Audit credit referrals, motor-finance quotations, retailer checkout offers and lender comparisons where different remuneration is available. Preserve panel descriptions, commercial terms, consumer disclosures, application screens and complaint decisions. Test whether rankings or recommendations change when incentives change. Assign ownership of material conflicts and verify corrective measures with transaction samples. A written conflicts policy is not evidence that customer-facing decisions were fair. Sampling should include ordinary journeys and edge cases. Preserve source records, decisions, correspondence and corrections so reviewers can reconstruct the transaction. Identify repeated defects and verify remediation.

Frequently asked questions

Do all EU brokers have identical requirements?

No. National law, the credit product and activity determine obligations.

Does authorisation alone guarantee compliance?

No. Firms must also meet applicable conduct and disclosure requirements.

Operating frameworks on this page are editorial suggestions. Apply the legal text and current national requirements to the actual product facts; these methods do not determine compliance.
