Denmark has enacted its CCD2 implementation

The Danish Folketing approved L 19 on 20 November 2025, and the measure became Act No. 1322 of that date. It amends lov om kreditaftaler, marketing legislation, the law governing consumer loan businesses and other statutes. This is enacted Danish legislation, not a proposal awaiting passage. The Act's section 6 provides that most changes commence on 20 November 2026. An exception concerns a provision governing consumer lending businesses which commenced on publication. Compliance managers must therefore distinguish the law's adoption from when particular requirements apply to a contract. Read the Danish text in Retsinformation and identify any secondary rules relevant to the creditor. A translated CCD2 summary cannot replace the actual national provisions.

Transition for older indefinite agreements

Section 6 generally excludes credit agreements concluded before the Act's commencement, but lists provisions applicable to existing tidsubegrænsede kreditaftaler, indefinite-duration agreements. Those provisions cover certain changes, notices and consumer rights. A lender servicing a facility opened before 20 November 2026 cannot simply freeze all compliance logic at the original agreement date. Nor should it replace every legacy agreement with the complete new-law workflow. Record whether the facility is open-ended, the original contract date and which statutory sections extend to it. The distinction can affect customer communications and servicing after implementation. Denmark's statutory transition is a national feature that deserves its own decision logic rather than a pan-European default.

Consumer loan firms and intermediary registration

Act No. 1322 changes the legal framework for forbrugslånsvirksomheder and establishes registration provisions for kreditformidlere. The enacted text provides that Finanstilsynet may receive and process relevant applications from 20 May 2026 and includes transitional treatment for qualifying intermediaries that apply by commencement. Firms must check their precise business model, authorisation or registration category and whether any transitional allowance applies. An online marketplace referring borrowers is not automatically identical to a lender extending credit. Records should show which entity advertises, intermediates, underwrites and signs each agreement. Follow official registration guidance rather than relying on a commercial vendor's interpretation. A registration procedure is distinct from compliance with consumer advertising and contract duties.

Credit assessment and consumer information

Denmark's revised credit rules address clearer consumer information, changes in advertising, creditworthiness and lending conduct under the enacted implementation. A lender should review marketing claims, APR and total cost calculations, pre-contract explanations and agreement delivery based on the final domestic text. The assessment of ability to repay should rely on relevant customer circumstances and defensible financial information, with special attention to automated approval rules. Updated coverage of small or interest-free arrangements must be tested according to product definitions and exceptions rather than assumed from a marketing label. Danish-language communications and the timing of disclosure require practical testing. Preserve the actual quote, information supplied, approved terms and contract version so decisions can be reconstructed.

Oversight and complaints in Denmark

Finanstilsynet is relevant to financial supervision and the authorisation or registration processes addressed by the law, while Danish consumer-protection oversight can involve the Consumer Ombudsman, Forbrugerombudsmanden, depending on the conduct. The competent body differs with the obligation at issue. Do not send every issue about an APR advertisement or intermediary registration to one generic authority. Document the firm's regulatory category and complaint escalation arrangements. Review guidance on consumer-facing lending marketing separately from prudential or firm-permission requirements. The country implementation register should identify which national institution issues a legally relevant notice, licence or enforcement decision. Customer support should be prepared to explain rate changes, repayment obligations and financial difficulty options accurately.

Operational scenario and evidence

Consider a Danish revolving facility entered in 2024 and a new instalment loan concluded in December 2026. The two arrangements can fall under different sets of transitional rules even though both are serviced by one platform. The lender must identify the specific provisions applying to the older indefinite facility and apply the enacted new regime to the later agreement, subject to legal scope. If a registered intermediary introduced the new borrower, preserve its role and the relevant permissions. Automated agreement generation should select the correct disclosures, creditworthiness decision and customer notices for each account. Audit reports should identify Act No. 1322, its section 6 and the underlying lov om kreditaftaler provisions actually used.

Product-specific verification points

A Danish checklist should verify contract type, creditor and intermediary authorisation, APR advertising, durable information, consumer rights and legally required relief processes. The new law also revises certain rules for businesses providing housing credit and dealing with enforcement, which should not be presented as applying to every unsecured loan. A mortgage-credit firm may have responsibilities separate from an unsecured lending app. Review national choices expressly recorded in the enacted Act before describing any exception or stricter treatment. Maintain evidence of both the current rules and future deployment tests during the transition. A change to an agreement after November 2026 should be examined on its own facts, not merely assumed to be a new loan. Maintain a separate register of Danish commencement exceptions and customer notices, with an accountable compliance owner reviewing national guidance before each production change.
